Article 1. Applicability
These terms and conditions apply to all quotes and agreements of Franchise-Marketing.nl, a trading name of Gijs Bodenstaff, Herengracht 280, 1016 BX Amsterdam, Dutch Chamber of Commerce (KvK) number 92528023, with business clients. Deviations only apply if they have been agreed in writing.
Article 2. Quotes and formation of the agreement
Quotes are valid for thirty days and are without obligation. An agreement is formed by written or digital acceptance of the quote, or when performance has begun with the client's consent.
Article 3. Performance
Franchise-Marketing.nl performs the assignment to the best of its knowledge and ability. This is an obligation of best efforts: rankings in search engines, mentions in AI assistants and commercial results are not guaranteed. The client supplies the necessary information and access in good time.
Article 4. Prices and payment
All prices are excluding VAT. Monthly packages are invoiced monthly in advance; other work is invoiced afterwards. The payment term is fourteen days. The client pays media budget for advertising platforms directly to the platform, unless agreed otherwise.
Article 5. Term and termination
A pilot runs for one quarter. After that, the agreement continues on a monthly basis and can be terminated by either party subject to a notice period of one calendar month.
Article 6. Accounts, data and intellectual property
Accounts, profiles and data remain the property of the client. Upon full payment, the client obtains the right to use the texts and materials supplied for its own use.
Article 7. Liability
The liability of Franchise-Marketing.nl is limited to the amount invoiced for the assignment in the three months preceding the damage. Liability for indirect damage, consequential damage and loss of profit is excluded, except in the case of intent or deliberate recklessness. Franchise-Marketing.nl is not liable for decisions by third parties, such as Google, Meta or other platforms (for example the suspension of profiles or the rejection of adverts).
Article 8. Complaints and disputes
Complaints must be reported in writing within fourteen days of discovery. Dutch law applies to all agreements. Disputes will be submitted to the competent court in the district of Amsterdam.
